Restaurant Partner Terms and Conditions

1. Application information

The restaurant confirms that all submitted business, ownership, license, menu, contact, operating-hour, and pricing information is true, accurate, and up to date.

2. Restaurant responsibilities

The restaurant is responsible for food quality, hygiene, packaging, preparation time, menu accuracy, order availability, and compliance with applicable food-safety laws and local regulations.

3. Partner platform access

Click To Food will provide access to the Restaurant Partner Panel for managing orders, menus, business information, availability, and related platform services.

4. Third-party systems and data integration

The Restaurant authorises Click To Food Delivery L.L.C., through its authorised service providers and technology partners where necessary, to connect with third-party systems designated or approved by the Restaurant. Within the agreed integration scope, Click To Food may receive, transmit, process and synchronise information necessary for onboarding, menu publication, order processing, fulfilment, reporting and reconciliation. Updates to the Restaurant's third-party systems are limited to functions separately enabled and authorised for that integration.

This information may include restaurant and branch details, menus, products, prices, taxes, modifiers, availability, operating hours, images, branding, and relevant order and fulfilment information.

The Restaurant confirms that it holds the necessary rights and permissions to supply this information and permit its use. It remains responsible for the accuracy and legality of information supplied through its authorised systems and for maintaining required third-party licences, subscriptions and approvals. The Restaurant must promptly report incorrect information or changes to its integration authorisation.

Receiving promotional or offer-related information does not, by itself, authorise Click To Food to create, modify, fund or apply any promotion or discount. Such activities remain subject to separately agreed commercial terms and approvals.

Both parties must protect confidential information and personal data and comply with applicable data-protection law. Integration access must be limited to information and purposes necessary for the agreed services.

Click To Food is not responsible for failures caused solely by third-party systems outside its reasonable control. This does not exclude responsibility for its own breach, negligence or obligations that cannot lawfully be excluded.

5. Order fulfilment and service quality

The restaurant agrees to accept, prepare, and hand over confirmed orders within the submitted preparation time and to maintain appropriate service quality.

6. Commercial terms and settlements

Commission, subscription fees, setup fees, delivery fees, marketing charges, promotional costs, and selected-package charges apply according to the commercial details accepted by both parties in the generated partner agreement. Those specific terms take precedence over general operational policies. Material commercial changes require express agreement and apply prospectively.

Click To Food Delivery L.L.C. will provide settlement information and pay according to the agreed schedule. Refunds, cancellations, chargebacks and deductions require an agreed or lawful basis and supporting records; a customer complaint alone does not establish restaurant liability. Discrepancies must be reported and investigated promptly, within any review and response periods agreed in writing. Undisputed amounts remain payable when due. Each party is responsible for its applicable taxes.

7. Privacy, confidentiality and account security

Both parties must protect confidential information and personal data. Customer information may be used only for authorised fulfilment, support or another lawful purpose. Unrelated marketing, personal contact and unauthorised sharing are prohibited. Security incidents must be promptly reported.

8. Promotions and marketing

Promotional campaigns, discounts, coupons, featured placements, sponsored listings, and marketing activities must be approved by both parties unless they are already included in the selected package.

9. Suspension or deactivation

Click To Food may suspend or deactivate the restaurant account for substantiated breaches of the agreement. Remediable breaches normally allow the agreed opportunity to correct them. Click To Food may immediately restrict services for credible, serious safety risks, fraud, unlawful activity or invalid mandatory licences. A customer complaint alone does not establish a breach; complaints must be assessed, while urgent protective action may be taken where a credible, serious safety risk exists.

10. Termination

Either party may terminate the agreement by written notice in accordance with the notice period agreed in writing and applicable law. Termination does not remove obligations relating to outstanding orders, payments or equipment, which must be resolved under the agreed terms. Unresolved matters do not, by themselves, prevent termination or justify withholding undisputed amounts, which remain payable when due.
